Board of Directors
Section 1. The Board of Directors shall consist of fourteen (14) member's
as follows: Commodore, Immediate Past Commodore, Vice-Commodore, Rear-Commodore, Secretary, Treasurer, Fleet Captain, Manager
for the Sale of Alcoholic Beverages, and six (6) members elected according to Article IV.
Section 2. They shall hold a meeting once each month and eight
shall constitute a quorum.
Section 3. It shall be their duty to take charge of and have the
control and management of all the monies and all property, both real and personal, belonging to the club.
Section 4. They shall have no power to expend money or incur indebtedness
in an amount in excess of one thousand dollars ($1,000), with the exception of outstanding bills or emergencies. Any
expenditure over one thousand dollars ($1,000) shall not be valid unless notice of the intended expenditure has been sent
by the Secretary to the member's in the call for the meeting and voted for by a majority in attendance at said meeting.
Section 5. They shall have no authority to grant, sell, mortgage
or assign any property, real or personal, owned by the club, except for the operation of the kitchen, with the approval of
the membership.
Section 6. They shall have no power to expend money or incur indebtedness
in an amount in excess of the difference between outstanding bills and current cash held by the club. Outstanding bills
as used in this section does not include mortgage notes, notes, and bonds already in existence.
Section 7. They shall, subject to these by-laws:
7a. Prescribe rules for the admission of nonmembers to the Club
House.
7b. Fix and enforce penalties.
Section 8. They shall keep minutes of their proceedings, report
at each regular meeting of the club, and make a detailed written report for the year at the Annual Meeting.
Section 9. It shall be the duty of the Board of Directors to attend
the regular and special club meetings and functions.
Section 10. Notice of Special Meetings of the Board of Directors
shall be made to all board members not less than two days or forty-eight hours-prior to the proposed date of the meeting unless
this provision is waived by "a majority of" the members of the board.
